Terms and conditions
Last updated: 17 October 2026
These are the agreements between your business and Nexra Systems, in plain language. They apply to everything we do for you.
1. Who we are
Nexra Systems is a sole proprietorship of Nihaal Shaikh, located at Beukelsdijk 120B, 3022 DL Rotterdam. Chamber of Commerce (KvK) number 42050848, VAT ID NL005457152B06. Email: info@nexrasystems.nl. In these terms, Nexra Systems is ‘we’ and the client is ‘you’.
2. What these terms apply to
These terms apply to all our proposals, quotes, agreements and work. We only work for businesses and organisations, not for consumers. Other arrangements only apply if we've put them in writing; an email is enough. Your own general terms do not apply.
3. The free demo
The demo of your website is free and you're not tied to anything. We build it with information that's already public, such as your Google Maps listing or social media. The demo stays ours until you become a client. Don't want it? Then we take it offline and delete it. You can also ask us to delete it sooner at any time.
4. How an agreement is made
An agreement is made when you accept our proposal by email or WhatsApp, or when you make the first payment. A quote is valid for 30 days unless it says otherwise.
5. The Website Plan
With the Website Plan we build and maintain your website for a fixed monthly amount. It includes:
- a custom website, in Dutch and English;
- hosting and security (https);
- your domain name, registered in your name, including renewal;
- small changes up to 1 hour a month, such as menu, prices, opening hours and photos. We make them within 2 working days. Unused time doesn't carry over.
Work outside this, such as extra pages or more changes, we only do after you agree, at a price we agree with you beforehand.
6. Custom work and other services
For custom work, such as a reservation system, dashboard or automation, and for a website you buy in one go, we make a quote with the price, what we'll build and how you pay. The arrangements in the quote come first; these terms add to them.
If we process personal data for you, for example your customers' details in a reservation system, we'll sign a data processing agreement with you for that.
7. Prices and payment
Our prices exclude VAT. If we don't have to charge VAT, for example because we use the Dutch small business scheme (KOR), the invoice says so.
You pay for the Website Plan monthly, in advance. You make the first payment with iDEAL; with it, you also authorise automatic direct debit for the following months. Payments are handled by our payment provider Stripe. You receive an invoice by email every month.
We may adjust our prices once a year and will tell you at least 1 month in advance. Your price stays the same for the first 12 months. Don't agree with a new price after that? Then you can cancel as of the date it takes effect.
8. Late payment
If a payment fails, for example because a direct debit was reversed, we'll send you a reminder. If a payment is more than 30 days late, we may take your website offline until everything has been paid. We may also charge the statutory commercial interest and reasonable collection costs.
9. Term and cancellation
The Website Plan runs for at least 12 months, counted from your first payment. After that it continues monthly and you can cancel at any time with 1 month's notice. To cancel, email info@nexrasystems.nl; you'll get a confirmation.
If you stop within the first 12 months, the remaining months of that first year are still due.
We can cancel too, with 2 months' notice. If we do so without you having done anything wrong, you get your website files for free and we help you move.
10. Refunds
Want to stop before your website is live? You can, at no cost: we refund what you've already paid and the minimum term no longer applies. Payments for months in which your website was live are not refunded.
Did something go wrong with a payment, such as a double charge? Email us and we'll sort it out and refund the overpayment. Please contact us first before reversing a payment through your bank.
11. Your domain name
We register your domain name in your name, so it's always yours. While you're a client, we manage it and pay for the renewal. If you stop, we give you the transfer code free of charge, so you can take your domain name to another provider.
12. Ownership and taking your website with you
Your texts, photos, logo and other content remain yours. The design and code of the website remain ours; while you have the Website Plan, you may use the website.
If you stop after the minimum term and want to keep the website, you get all website files for a one-time €295 (excluding VAT) and we help you move. Otherwise we take the website offline at the end of the agreement.
13. Your content
For your live website we only use texts and photos that are yours or that you have permission to use. You make sure you have the right to use the content you give us. You approve the website before it goes live. If we receive a claim about content you supplied, you are responsible for it.
14. Portfolio
We may show your website as an example of our work, for example on our own website. Rather not? Email us and we'll take it down.
15. Uptime and maintenance
We do our best to keep your website online at all times and keep it secure and up to date. A website can sometimes be briefly unreachable, for example because of an outage at a hosting provider. That's why we can't guarantee 100% availability.
16. Liability
If something goes wrong through our fault, we fix it as quickly as possible and free of charge. Our liability is limited to direct damage, up to the amount you paid us in the 6 months before the damage. We are not liable for indirect damage, such as lost revenue or profit. These limits do not apply in case of intent or deliberate recklessness.
17. Force majeure
If we temporarily can't deliver because of something outside our control, such as illness, a major outage at a supplier or a power cut, our obligations are postponed for as long as it lasts. If it lasts longer than 2 months, either of us may end the agreement.
18. Privacy
How we handle personal data is explained in our privacy statement.
19. Changes to these terms
We may change these terms. We email you about important changes at least 1 month before they take effect. Don't agree with a change to your disadvantage? Then you can cancel as of the date it takes effect, even within the first 12 months.
20. Law and disputes
Our agreements are governed by Dutch law. If we can't resolve something together, the competent court in Rotterdam decides. These terms are written in English.
